DAFODILCOM Corporate Disclosure — 1 June 2026

Refer to their earlier news disseminated by DSE on 11.11.2025 regarding Decision to hold EGM for converting Loan to Equity Shares, the Bangladesh Securities and Exchange Commission (BSEC) vide their letter dated May 21, 2026 has informed the company that the Commission is not in a position to accord consent for the issuance of 3,26,90,000 ordinary shares at Tk.15/- each, aggregating Tk. 49,03,50,000/- against repayment of loan availed from Creative International.

ঋণকে ইক্যুইটি শেয়ারে রূপান্তরের জন্য ইজিএম আয়োজনের সিদ্ধান্ত সংক্রান্ত ডিএসই কর্তৃক ১১.১১.২০২৫ তারিখে প্রচারিত তাদের পূর্ববর্তী সংবাদের পরিপ্রেক্ষিতে, বাংলাদেশ সিকিউরিটিজ অ্যান্ড এক্সচেঞ্জ কমিশন (বিএসইসি) তাদের ২১ মে, ২০২৬ তারিখের চিঠির মাধ্যমে কোম্পানিকে জানিয়েছে যে, ক্রিয়েটিভ ইন্টারন্যাশনাল থেকে গৃহীত ঋণ পরিশোধের বিপরীতে প্রতিটি ১৫/- টাকা দরে মোট ৪৯,০৩,৫০,০০০/- টাকা মূল্যের ৩,২৬,৯০,০০০টি সাধারণ শেয়ার ইস্যু করার জন্য কমিশন সম্মতি প্রদানে সক্ষম নয়।
