OIMEX Corporate Disclosure — 26 July 2023

(Continuation news of OIMEX): ref: BSEC/SRMIC/100-2017/239, dated 12 June 2022. The aforesaid proposal has not been duly accepted by BSEC due to non-compliance with articles 13 and 53 of the memorandums exposed which are as follows- Article 13. Where the directors decide to increase the capital of the company by the issue of further shares, such shares shall be offered to members in proportion to the existing shares held by each member. (OIMEX-এর ধারাবাহিক সংবাদ): রেফারেন্স: BSEC/SRMIC/100-2017/239, তারিখ 12 জুন 2022। উন্মোচিত স্মারকলিপিগুলির 13 এবং 53 অনুচ্ছেদগুলি মেনে না চলার কারণে উপরোক্ত প্রস্তাবটি বিএসইসি দ্বারা যথাযথভাবে গৃহীত হয়নি। নিম্নরূপ- অনুচ্ছেদ 13. যেখানে পরিচালকরা আরও শেয়ার ইস্যু করে কোম্পানির মূলধন বাড়ানোর সিদ্ধান্ত নেন, সেখানে এই ধরনের শেয়ার প্রতিটি সদস্যের কাছে বিদ্যমান শেয়ারের অনুপাতে সদস্যদের দেওয়া হবে। ধারা 53.
