(Continuation news of SINGERBD): to sell and dispose of its 100% issued and outstanding shares in the share capital of the Majority Shareholder to Ardutch B.V. (the "Buyer"), and the buyer has agreed to purchase the same from the Seller, subject to the satisfaction or waiver of the conditions precedent therein (the "Transaction"). As a result of this transaction, the Buyer will become the ultimate beneficial owner of 43,707,183 shares of the company, (cont. 2)
