Basis for Qualified Opinion: Management has adopted the Business Combination Under common Control (BCUCC) concept referred to in IFRS 3: Business Combinations for accounting for the acquisition of United Energy Ltd (UEL) by UPGDCL as explained in Note 49A. Under this arrangement, results of UEL and United Ashuganj Energy Ltd (UAEL) have been consolidated with the Company's results as if the group structure as at 30 June 2019 has always been in place.
